By accessing or using any website, product, platform, or service operated by Elvicto Technologies Private Limited ("Elvicto", "we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing our services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, you must not use our services.

Elvicto provides intelligent parking automation platforms, software, hardware integrations, and related managed services to enterprises, government bodies, smart city operators, airports, hospitals, and commercial facilities. Our services include but are not limited to:

• ○Automated access control and barrier management systems
• ○Real-time occupancy monitoring and parking guidance
• ○Digital payment processing and subscription management
• ○Operational analytics, dashboards, and reporting
• ○API integrations with third-party city infrastructure and enterprise systems
• ○Managed services including installation, maintenance, and support

Our services are intended for businesses, government entities, and professionals. By using our services, you confirm that:

• ○You are at least 18 years of age and legally capable of entering into binding agreements
• ○Your organisation is duly registered and authorised to operate in its jurisdiction
• ○All information you provide to us is accurate, current, and complete
• ○You will maintain the confidentiality of any account credentials and notify us immediately of any unauthorised access
• ○You are responsible for all activity that occurs under your account

All intellectual property rights in our platforms, software, firmware, documentation, branding, and related materials are and remain the exclusive property of Elvicto Technologies or its licensors. These Terms do not grant you any ownership rights. You may not:

• ○Copy, modify, reverse-engineer, or create derivative works of our software or hardware
• ○Remove or alter any proprietary notices or branding from our products
• ○Use our trademarks, logos, or trade names without prior written consent
• ○Sub-license, resell, or transfer access to our services to third parties without an express written agreement

Any feedback, suggestions, or ideas you share with us may be used by Elvicto without restriction or compensation.

You agree to use our services only for lawful purposes and in accordance with all applicable laws and regulations. You must not:

Where our services are subject to fees, the following terms apply:

• ○All fees are specified in the applicable order form, service agreement, or platform interface and are exclusive of taxes unless stated otherwise
• ○Invoices are due within the payment period stated in your service agreement; late payments may attract interest at the rate permitted by applicable law
• ○We reserve the right to suspend or terminate access to services for accounts with outstanding balances following reasonable notice
• ○All fees paid are non-refundable except where expressly stated or required by law
• ○We may revise our pricing with reasonable advance notice; continued use of the services after the effective date constitutes acceptance of the revised fees

Your use of our services may involve the collection and processing of personal data. Our Privacy Notice Policy, available at elvicto.in/privacy, governs how we handle such data and forms part of these Terms. By using our services, you agree to our data practices as described in that policy. Where you provide personal data of third parties (such as end users of a parking facility), you warrant that you have obtained all necessary consents and authorisations to do so.

Our platforms may integrate with third-party services, payment gateways, government systems, or infrastructure operated by parties other than Elvicto. We are not responsible for the availability, accuracy, security, or compliance of such third-party services. Your use of third-party integrations is subject to the terms and policies of the respective providers.

Elvicto warrants that it will provide services with reasonable skill and care. Except as expressly stated in a written service agreement:

• ○Our services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• ○We do not warrant that our services will be uninterrupted, error-free, or free from security vulnerabilities
• ○We do not warrant that results obtained from using our services will be accurate, complete, or meet your specific requirements
• ○We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law

To the maximum extent permitted by applicable law, Elvicto's total aggregate liability to you for any claims arising under or in connection with these Terms or our services shall not exceed the fees paid by you to Elvicto in the twelve (12) months preceding the event giving rise to the claim. In no event shall Elvicto be liable for:

• ○Loss of profits, revenue, business opportunity, or anticipated savings
• ○Loss or corruption of data
• ○Indirect, incidental, special, punitive, or consequential damages
• ○Losses arising from third-party infrastructure, integrations, or network failures beyond our reasonable control

Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

You agree to indemnify, defend, and hold harmless Elvicto Technologies, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• ○Your breach of these Terms
• ○Your misuse of our services or platforms
• ○Your violation of any applicable law or regulation
• ○Any claim by a third party arising from data you have provided to or through our services

These Terms remain in effect for as long as you use our services. Either party may terminate the relationship in accordance with the applicable service agreement. Elvicto may suspend or terminate your access immediately and without notice if:

• ○You materially breach these Terms and fail to remedy the breach within a reasonable period of receiving notice
• ○You become insolvent or subject to insolvency proceedings
• ○Continued provision of services would expose Elvicto to legal, regulatory, or reputational risk

Termination does not affect any rights or obligations that accrued prior to the termination date. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice on our website at least 14 days before the changes take effect. Your continued use of our services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the changes, you must cease using our services.

These Terms are governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Thiruvananthapuram, Kerala, India. Before initiating formal proceedings, both parties agree to attempt good-faith resolution of any dispute within 30 days of written notice.
